| 摘 要： | 创业企业剩余索取权的配置，是创业企业合约中的关键内容。创业企业在运作过程中，需要创业者和投资者共同的努力，将创业企业剩余索取权配置问题与创业企业在运作过程中双边道德风险的激励问题相结合，提出分级剩余索取权配置方案，并通过理论模型求解，得出能对双方达到最优激励的剩余索取权配置比例。最后通过实例，分析了分级剩余索取权配置方案在实际中应用的方法。

| Abstract: | Sharing arrangement of residue claims is an important part of the contract. The success of venture finn depends on the joint effort of the venture capitalist and the entrepreneur. In order to give the venture capitalist and the entrepreneur incentive to work hard,this paper presents a grading sharing arrangement of residue claims for venture optimal use this method capital. A model is also set up to analyze from wenture capitalist anti the entrepreneur. the first-best sharing arrangement to induce the Finally,an example is given to show how to use this method. |
